3.1 Event name: TikTok Awards Southeast Asia 2026 ("TikTok Awards").
- 3.2 Territory: Indonesia (ID), Malaysia (MY), Filipina (PH), Singapura (SG), Thailand (TH), dan Vietnam (VN).
- 3.3 Market scope: nominees are first selected in each participating market for the relevant award category. TikTok then selects one country representative from those nominees, and that representative becomes the SEA nominee for that market. Unless TikTok announces otherwise, nominees do not compete across markets before being selected as their market SEA nominee.
- 3.4 Offline event location: The Westin Nusa Dua Hotel, Nusa Dua, Bali, Indonesia.
- 3.5 Main event/awards night: 27 November 2026 at The Westin Nusa Dua Hotel, Nusa Dua, Bali, Indonesia. TikTok may livestream the main event through one or more official TikTok accounts.
- 3.6 Control of the Event: TikTok may change the Event or any Campaign Activity — including categories, eligibility criteria, voting or judging methods, programme, participants, sponsors, format, production, transmission, capacity, safety requirements, venue, location, dates, times, duration, travel arrangements, or how to take part — and may postpone, suspend, relocate, restrict, hold without an audience, convert to remote or recorded participation, or cancel any part of the Event for operational, production, commercial, legal, regulatory, health, safety, security, reputational, integrity, technical, environmental, or other reasons. To the extent permitted by law, TikTok is not liable for losses or expenses incurred, except amounts expressly agreed by TikTok in writing to be reimbursed before they were incurred.
- 3.7 No guarantee: a nomination does not guarantee attendance, participation, broadcast time, on-screen time, publication, specific seating or location, access to any person or area, continuing eligibility, progression to the next stage, an award, a prize, commercial opportunities, or any minimum promotional value.
- 3.8 Notices: TikTok will use reasonable efforts to communicate material changes through the official Event communication channels. You are responsible for monitoring those channels and complying with updated instructions.
- 3.9 Cancellation costs: TikTok is not responsible for travel, accommodation, visa, wardrobe, personnel, opportunity, sponsor, preparation, or other costs arising from a change, postponement, suspension, relocation, or cancellation, except amounts expressly approved by TikTok in writing beforehand or where applicable law requires otherwise.
4. Eligibility, accepting a nomination, and representation
- 4.1 Acceptance: to confirm your nomination you must accept it in the manner instructed by TikTok within seven (7) days of receiving the nomination invitation. If you do not, TikTok may withdraw the nomination.
- 4.2 Joint accounts: if the nominated Account is operated jointly, all relevant joint nominees must accept these Terms and each is jointly and severally responsible for compliance.
- 4.3 Authorised representatives: if your manager, agency, or other representative accepts these Terms on your behalf, they represent and warrant that they have full authority to do so.
- 4.4 Accuracy: you warrant that the information you give TikTok in connection with the Event is accurate, complete, and up to date.
- 4.5 Compliance with the Policies: you must comply with the Policies at all times during the Event Period.
- 4.6 Continuing eligibility: eligibility must be maintained throughout the Event Period. You must promptly disclose any fact that may affect your eligibility or decision of TikTok to include you. TikTok may verify eligibility and request identity, age, residence, authority, account control, tax, sanctions, travel, visa, health, or other reasonably relevant documents. Failure to provide requested information may result in suspension or disqualification.
- 4.7 Adults and minors: unless TikTok expressly agrees otherwise in writing, you must have reached the age of majority under the law applicable to you. If TikTok allows a person below the applicable age of majority to take part, the legal parent or guardian must accept these Terms for that person, sign the guardian consent and release set by TikTok, give any consent needed to process the minor Personal Data, accompany the minor where required, and be responsible for compliance. TikTok may request proof of age and guardianship and impose additional safeguards.
5. Nominee obligations (Campaign Activities)
- 5.1 Participation commitment: TikTok expects your continued participation until the Event ends, and you agree to participate reasonably in Campaign Activities as scheduled by TikTok.
- 5.2 Activities may include (as applicable): media meetings/media day; press conferences and interviews; pre-event and/or opening event; rehearsals; and the main event/awards night.
- 5.3 Schedule changes: TikTok may adjust schedules, locations, and formats, and will provide updates through the official Event communication channels.
- 5.4 Absence: if you cannot attend a scheduled activity, tell TikTok as soon as possible with your reasons. TikTok may arrange alternatives, reschedule, or treat repeated or material absence as withdrawal or grounds for disqualification.
- 5.5 Professional conduct: you agree to behave respectfully and responsibly in all Event-related activities and to follow reasonable instructions from TikTok or Event staff.
- 5.6 Communication: you may be required to join official communication channels set by TikTok (for example a group chat, email thread, or talent management tool) to receive Event updates and instructions, and you are responsible for responding within a reasonable time.
- 5.7 Event instructions: you must comply promptly with call times, accreditation procedures, production directions, content and technical requirements, venue rules, security checks, emergency instructions, dress and brand restrictions, and reasonable directions from TikTok and Event staff.
- 5.8 Credentials and access: credentials are personal, revocable, non-transferable, and do not guarantee admission. TikTok may control access to any area and refuse or remove unauthorised persons or prohibited items.
- 5.9 No unauthorised activity: without TikTok prior written approval you must not carry out promotion, sales, solicitation, political activity, or commercial activation; display conflicting third-party brands; record or distribute non-public rehearsals, backstage activities, results, or Confidential Information; or use the Event name or TikTok Materials in a way that suggests endorsement, sponsorship, or official status.
6. Voting
- 6.1 Voting as part of the process: you acknowledge that voting may form part of the selection and/or judging process for the awards, alongside panel judging and other evaluation mechanisms determined by TikTok.
- 6.2 No manipulation: you must not manipulate, incentivise, buy, or artificially boost votes in any way, including buying votes or offering rewards, prizes, money, discounts, giveaways, or other benefits in exchange for votes.
- 6.3 Prohibited methods by others: you must not encourage, coordinate, or allow followers, fans, representatives, vendors, or other third parties to use prohibited, automated, deceptive, or fraudulent methods to vote on your behalf (including bots, scripts, click farms, fake accounts, or other artificial means).
- 6.4 Official Voting Rules: where voting applies, TikTok may issue separate Official Voting Rules, and you must comply with them in addition to these Terms.
- 6.5 Enforcement and consequences: if TikTok detects vote manipulation or any breach of this clause, TikTok may disqualify you, withdraw your nomination, adjust voting results, and/or take other action it considers appropriate, including reporting suspicious activity and pursuing available legal remedies.
- 6.6 Link to representations and warranties: this clause reinforces and forms part of your commitment to authentic participation under clause 14.
- 6.7 Audit and cooperation: TikTok may monitor, audit, investigate, invalidate, or exclude votes or activity it reasonably considers automated, bought, incentivised, fraudulent, abusive, duplicative, or technically abnormal. You must retain and provide relevant information and cooperate with investigations.
- 6.8 Final decisions and errors: to the extent permitted by law, decisions of TikTok on eligibility, voting, judging, results, and enforcement are final. TikTok may correct errors, recalculate results, suspend voting, change mechanisms, withdraw or reallocate nominations or awards, or require return of a prize where reasonably necessary to protect the integrity of the Event.
7. Sponsor placements
- 7.1 TikTok may engage sponsors in connection with the Event and may include Sponsor Placements in the presentation of award categories and/or promotional materials for the Event.
- 7.2 Category/materials only: Sponsor Placements attach to the category and/or promotional materials and are not intended to express your personal endorsement.
- 7.3 No obligation to post personal sponsor content: unless you separately agree in a written brand agreement (see clause 9), you are not required to publish sponsor promotional content on your own channels or to present a sponsor as your personal partner.
8. Awards, judging, and prizes
- 8.1 TikTok may run voting and/or judging processes, and may determine the voting/judging mechanisms, eligibility rules, and final results in accordance with its announced rules, these Terms, the Official Voting Rules (where applicable), and applicable law.
- 8.2 Announcement: winners may be announced at the awards night, through a livestream, and/or through other channels designated by TikTok.
- 8.3 Prize: the prize for each winner is a TikTok Awards trophy for the applicable award category. No cash, cash equivalent, or other prize is included unless TikTok expressly notifies the winner otherwise in writing.
- 8.4 Taxes: you are responsible for meeting any tax obligations arising from your participation in the Event or the receipt of any prize, to the extent required by law.
- 8.5 Prize terms: prizes are non-transferable and no cash alternative is available unless TikTok agrees otherwise. TikTok may substitute a prize with goods or benefits of equal or greater value if the stated prize is unavailable. TikTok gives no warranty as to the value, quality, merchantability, fitness, availability, or tax treatment of any prize.
- 8.6 Fulfilment and forfeiture: TikTok may require verification, releases, tax forms, receipts, and other documentation before fulfilment, and may withhold, withdraw, reclaim, or reallocate a prize without compensation if you are ineligible, cannot lawfully receive it, miss a stated deadline, or breach these Terms.
9. Brand agreements and paid commercial activity
- 9.1 You understand that you may or may not receive opportunities for brand collaborations or paid commercial activity connected with the Event.
- 9.2 Any brand agreement, paid activity, endorsement, or commercial collaboration involving you (where applicable) is governed by a separate written agreement, for example an influencer agreement, statement of work, or contract with TikTok and/or an Event Partner.
- 9.3 Nothing in these Terms requires you to accept any brand agreement, and nothing requires TikTok or any Event Partner to offer one.
- 9.4 Event Partners: Event Partners are independent third parties and are not agents of TikTok merely because they support or sponsor the Event. Unless TikTok expressly becomes a party to a separate written agreement, TikTok is not responsible for offers, statements, products, services, acts, or omissions of Event Partners. Your dealings with Event Partners are at your own risk and may be subject to separate terms.
10. Intellectual property, publicity rights, and use of your profile information
- 10.1 Your ownership: as between you and TikTok, you retain ownership of your name, likeness, Account handle, and your pre-existing content and materials.
- 10.2 Licence for Event promotion: you grant TikTok and Event Partners a non-exclusive, worldwide, royalty-free, transferable, and sublicensable licence to host, reproduce, edit, adapt, translate, cut, combine, publish, communicate, broadcast, transmit, livestream, display, distribute, and make available the Promotional Materials together with your name, stage name, username, image, likeness, voice, biography, and statements contained in them, solely to operate, produce, document, publish, and promote the Event, TikTok, the TikTok services, Event Partners, and future or related TikTok events.
- 10.3 Scope and duration: the licence in clause 10.2 starts when you provide the relevant Promotional Materials and continues until three (3) years after the end of the Event Period. After that, TikTok and Event Partners must stop any new promotional use of the Promotional Materials, but may retain copies solely to comply with law, maintain internal records, and keep materials already published during the licence period, provided those copies are not used for new promotional campaigns.
- 10.4 No approval or compensation: to the extent permitted by law, you waive any right to review or approve any permitted use, edit, caption, context, copy, or final material, and acknowledge that no fee, royalty, residual payment, or other compensation is payable, except as expressly stated in a separate written agreement signed by TikTok.
- 10.5 Rights and clearances: you represent and warrant that you own or control all rights needed to provide the Promotional Materials and grant the rights under this clause; that the materials and permitted uses will not infringe intellectual property, privacy, publicity, confidentiality, or other rights; and that you have obtained written clearances from all identifiable persons and rights holders. You will provide copies on request.
- 10.6 No obligation to use: clauses 10.2 and 10.3 permit TikTok and Event Partners to use the Promotional Materials for the stated purposes but do not oblige them to use or publish any Promotional Materials, or to make any minimum number of uses.
- 10.7 Pre-existing materials: withdrawal, disqualification, expiry, or termination does not require TikTok or its licensees to recall, delete, or stop using materials already produced, published, distributed, committed, archived, or incorporated into other works.
- 10.8 No injunction: to the extent permitted by law, your remedy for breach of this clause is limited to damages, and you will not seek an order to prohibit, restrict, or disrupt the production, performance, distribution, advertising, or availability of the Event, TikTok Materials, or the Works.
11. Filming, recording, and livestreaming
- 11.1 You understand and agree that you may be filmed, photographed, and/or otherwise recorded in connection with the Event and Campaign Activities (including pre-event, press events, rehearsals, and the main event) by TikTok and/or Event Partners.
- 11.2 Recording consent: you knowingly and irrevocably consent to TikTok and those acting for it filming, photographing, and recording your appearance, voice, statements, performance, and interactions at or in connection with Campaign Activities, including spontaneous, backstage, rehearsal, interview, red carpet, audience, and livestream footage, and to editing and using that footage as permitted by this clause.
- 11.3 Publication and livestreaming: you agree that TikTok may publish and livestream the Works on official TikTok accounts and distribute the Works through other channels designated by TikTok, subject to applicable law.
- 11.4 Ownership and assignment: TikTok exclusively owns the physical recordings and, to the extent permitted by law, all copyright, performers rights, related rights, and other rights worldwide in the Works for the full term of those rights. You assign to TikTok all such rights you own or may acquire. Where a right cannot be assigned, you irrevocably grant TikTok and its affiliates an exclusive, worldwide, perpetual, royalty-free, transferable, and sublicensable licence to exercise that right.
- 11.5 Moral rights and compensation: to the extent permitted by law, you irrevocably waive and agree not to assert all moral rights, performers moral rights, and similar rights in the Works. Where a waiver is not permitted, you irrevocably consent to acts or omissions that would otherwise infringe those rights. No compensation, royalty, residual payment, approval, or accounting is due except as expressly agreed in a separate written agreement signed by TikTok.
- 11.6 Exploitation: TikTok may reproduce, edit, adapt, dub, subtitle, translate, synchronise, combine, quote, advertise, publish, broadcast, transmit, livestream, distribute, communicate, make available, and otherwise exploit the Works, in whole or in part, together with other material and with or without attribution, in any media or technology now known or later developed.
- 11.7 Further assurances: you will promptly sign documents and take reasonably required steps to confirm, perfect, or enforce rights of TikTok under this clause.
12. Personal Data and privacy
12.1–12.10 TikTok will collect and process Personal Data reasonably necessary to manage participation and logistics for the Event — including name, contact details, country of residence, dietary requirements, travel and accommodation details, and, where required, proof of age or identity. Data is used for Event administration, logistics (including travel and venue access), safety, communication, prize fulfilment, and operation of the Event, and may be shared with Event Partners and service providers (production team, venue, security, check-in vendor, travel agency, airlines, hotels, transport, and livestream/production vendors).
Personal Data may be processed in countries other than where you reside and/or where the Event takes place; TikTok will take the steps required by applicable law for each cross-border transfer. If required data is not provided, you may be unable to take part in some or all Event activities. Processing relies on performance of these Terms, legitimate interests, legal obligations, protection of vital interests, and consent where consent is required.
Where permitted by law and necessary for safety, accessibility, or logistics, TikTok and Event Partners may process information about diet, allergies, disabilities, health, and other sensitive information, obtaining explicit consent where required. In an emergency, relevant information may be disclosed to medical, security, venue, transport, insurance, or public authorities where reasonably necessary to protect someone or comply with law. The Event may be public, livestreamed, or recorded, so public materials may be viewed, copied, or redistributed by third parties.
- The details of what is collected, how it is used, who it is shared with, the legal basis, retention, your rights, and contact channels are set out on the Privacy Policy page of this site.
- Applicable data protection rights can be exercised through the contact channels stated in the Event privacy notice.
- The full wording is in clause 12 of the official TikTok Awards 2026 document.
13. Confidentiality
- 13.1 Confidential Information means any non-public information relating to TikTok, the Event, nominees, nomination details, awards information, category details, winners, sponsors, Event Partners, participants, Event materials, negotiations, and these Terms, whether disclosed in writing, orally, visually, or otherwise.
- 13.2 You must keep Confidential Information confidential and must not disclose it, except where TikTok has made it public, where you are required by law to disclose it (subject to clause 13.3), or where TikTok gives written permission.
- 13.3 If you are legally required to disclose Confidential Information, you must (where lawful and practicable) notify TikTok first and cooperate to limit the scope of disclosure.
- 13.4 Confidentiality obligations apply to each element of Confidential Information until TikTok officially makes it public. Information not officially announced remains confidential after the end of the Event Period.
- 13.5 Results embargo: you must not disclose or hint at any nomination, results, winners, prizes, category information, or Event announcement before the time expressly permitted by TikTok, even if you learned it from another source.
- 13.6 Return and deletion: on request you must return or securely delete Confidential Information, except one copy required by law.
- 13.7 Equitable relief: you acknowledge that breach may cause irreparable harm that damages would not adequately remedy, and that TikTok may seek injunctive or other equitable relief.
14. Representations and warranties
14.1 You represent and warrant that:
- Capacity and authority — you have full legal capacity and authority to agree to these Terms and to perform your obligations.
- No conflicting obligations or brand conflicts — your participation does not breach any agreement or obligation you have to a third party, including exclusivity, endorsement, sponsorship, talent, management, ambassador, or brand representation arrangements. You must promptly disclose to TikTok any actual or potential conflict involving brands that compete with or conflict with TikTok, Event Partners, or Event sponsors, in particular where your nomination, award, prize or trophy presentation, appearance, content, or Campaign Activity involves sponsor brands, product placement, or sponsor-branded activations. TikTok may reasonably determine whether a brand conflict exists and require reasonable conflict management steps; if a conflict cannot be resolved, TikTok may change, move, withhold, or cancel the affected activation or benefit.
- No infringement — any Promotional Materials and/or other materials you provide do not infringe, misuse, or violate intellectual property, privacy, publicity, or other rights of third parties.
- Third-party consents — you have obtained all consents, permissions, and releases needed from any third party appearing in, identifiable in, or holding rights in any materials you provide.
- Compliance — you will comply with all applicable laws and regulations in connection with the Event and Campaign Activities, and comply with the Policies at all times during the Event Period.
- Authentic participation — your participation is authentic and not based on fraudulent activity, vote manipulation, or other improper conduct intended to undermine the integrity of the Event.
15. Disqualification, withdrawal, and rights of TikTok
- 15.1 Rights of TikTok: TikTok may, immediately and without liability, investigate, suspend, restrict, remove, or disqualify you; withdraw or reallocate nominations, awards, or prizes; revoke credentials; remove you from the Event venue or communication channels; cancel travel or accommodation; withhold payment or reimbursement; and delete or stop using materials if TikTok reasonably believes that: (a) you have breached or may breach these Terms, the Policies, the Official Voting Rules, or the law; (b) information you provided is false, incomplete, or misleading; (c) your conduct, statements, associations, or circumstances are the subject of credible allegations or public controversy and may harm someone, disrupt the Event, undermine its integrity, or expose TikTok, the Event, or Event Partners to legal, regulatory, commercial, or reputational harm; (d) participation creates health, safety, security, sanctions, bribery, fraud, or operational risk; or (e) action is needed to comply with law, authority requests, venue or platform requirements, or legitimate interests of TikTok.
- 15.2 Withdrawal: if you withdraw after accepting a nomination, you must promptly notify TikTok in writing. TikTok may continue to use Promotional Materials and Works already created for Event purposes.
- 15.3 Effect on future events: withdrawal or disqualification may affect eligibility for future TikTok awards or related activities, subject to applicable law and TikTok policies.
- 15.4 Process and consequences: TikTok may act during an investigation and is not required to reveal confidential sources, security information, or legally privileged material. Where practicable and appropriate, TikTok may allow you to respond, but prior notice is not required for urgent safety, security, legal, integrity, or reputational action. You are not entitled to compensation and must return any prize, credential, Confidential Information, or TikTok property on request.
16. Safety, travel, insurance, and assumption of risk
- 16.1 Safety and security: you must comply with all health, safety, protection, security, crowd control, evacuation, accreditation, and venue measures. TikTok may refuse entry, search or inspect persons and items to the extent permitted by law, require removal of prohibited items, relocate or evacuate participants, and remove anyone who creates risk or disruption.
- 16.2 Health disclosure and medical consent: you must confidentially disclose any allergy, disability, medical condition, medication, dietary restriction, accessibility need, or other circumstance reasonably necessary for safe participation. If you become ill, injured, or incapacitated and cannot give instructions, you authorise TikTok and Event staff to contact emergency services and your emergency contact and to arrange first aid, medical assessment, treatment, testing, transport, or hospitalisation reasonably considered necessary.
- 16.3 Medical responsibility: medical professionals retain all clinical decisions. To the extent permitted by law, you are responsible for medical, evacuation, repatriation, insurance, and related costs, unless TikTok expressly agrees otherwise in writing or the costs arise directly from liability that cannot lawfully be excluded. TikTok does not give medical advice or guarantee the absence of illness, injury, crime, crowd incidents, bad weather, or other hazards.
- 16.4 Travel documents: you are responsible for checking and obtaining every passport, visa, permit, vaccination or health document, parental consent, and other travel requirement. TikTok does not provide immigration, medical, or tax advice or guarantee departure, entry into Indonesia, or venue access.
- 16.5 Third-party travel services: where TikTok arranges transport or accommodation, TikTok may select and change providers, routes, fares, classes, hotels, room types, and schedules. These services are provided by independent third parties under their own terms; TikTok is not responsible for their acts, omissions, delays, cancellations, overbooking, loss, injury, or service quality except to the extent such liability cannot lawfully be excluded.
- 16.6 Expenses: TikTok will reimburse only reasonable expenses expressly approved in writing in advance, supported by valid itemised receipts, and submitted within 30 days after the relevant Campaign Activity, subject to TikTok expense policies and applicable deductions.
- 16.7 Insurance: you are strongly advised, and may be required, to maintain adequate travel, medical, personal accident, evacuation, baggage, equipment, and liability insurance. Any cover arranged by TikTok is subject to policy terms, exclusions, and limits.
- 16.8 Acknowledgment and assumption of risk: you understand that participation and travel may involve known and unknown risks, including transport, crowds, staging, electrical equipment, loud sound, special effects, slips and falls, food and allergens, severe weather, natural disasters, infectious disease, crime, civil unrest, terrorism, physical exertion, emotional stress, loss of property, serious injury, disability, and death. You participate voluntarily and, to the extent permitted by law, assume all inherent and ordinary risks.
- 16.9 Release: to the extent permitted by law, you release TikTok, its affiliates, Event Partners, sponsors, licensors, venues, transport and accommodation providers, production and media partners, and their respective officers, directors, employees, contractors, agents, successors, and assigns from claims and losses arising from your attendance, participation, travel, property, illness, injury, or death, except to the extent finally determined to be directly caused by fraud, wilful misconduct, or liability that cannot lawfully be excluded.
17. Limitation of liability
- 17.1 Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, for example liability for death or personal injury caused by negligence, or fraud.
- 17.2 To the extent permitted by law, TikTok is not liable for indirect or consequential loss arising from or in connection with the Event or these Terms.
- 17.3 To the extent permitted by law, TikTok is not liable for: technical difficulties, equipment failure, or internet/network issues; theft, unauthorised access, or third-party interference; loss, damage, delay, or misdelivery of any prize for reasons beyond the reasonable control of TikTok; or any tax liability borne by a winner or nominee.
- 17.4 Liability cap: subject to clause 17.1, the total aggregate liability of each party to the other arising from or in connection with these Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, will not exceed US$1,000. This cap does not limit your obligations relating to payment, return of prizes, confidentiality, intellectual property, fraud, wilful misconduct, or indemnity.
- 17.5 Force majeure: a "Force Majeure Event" means any event or circumstance beyond the reasonable control of TikTok that prevents, materially hinders, delays, makes unsafe, unlawful, commercially impracticable, or materially alters the Event or the performance of obligations of TikTok — including natural disasters; earthquake, tsunami, volcanic activity or ash; fire, flood, or severe weather; epidemic, pandemic, or public health emergency; war, terrorism, or credible security threat; riot, protest, or civil disturbance; death, illness, or unavailability of key talent, personnel, or suppliers; labour disputes; failure of transport, utilities, venue, accommodation, telecommunications, platform, broadcast, equipment, or supply chain; cyber attack or security incident; or acts or restrictions by government, courts, regulators, police, military, airports, immigration, health authorities, or the venue.
- 17.6 Options during force majeure: after a Force Majeure Event, TikTok may change the programme, requirements, participants, venue, dates, times, duration, capacity, format, distribution, or travel; use substitute venues, suppliers, hosts, nominees, or winners; hold activities remotely, privately, without an audience, with pre-recorded content, or on another platform; postpone, suspend, restrict, or cancel any part of the Event; or terminate these Terms.
- 17.7 Force majeure costs: TikTok is not obliged to reimburse costs or compensate you for travel, accommodation, visa, wardrobe, personnel, opportunity, sponsor, preparation, or other losses arising from a Force Majeure Event, unless applicable law requires otherwise.
- 17.8 Notice and mitigation: TikTok will use reasonable efforts to notify you of material impact where practicable, but is not required to incur material additional costs, compromise safety, break the law, or act contrary to its legitimate commercial or reputational interests to avoid or mitigate a Force Majeure Event.
18. Indemnity
- 18.1 Indemnified Parties: TikTok Pte. Ltd., its affiliates, and their respective officers, directors, employees, agents, representatives, successors, assigns, licensors, and Event Partners (including sponsors and media partners).
- 18.2 Indemnity by Nominee: to the extent permitted by law, you will indemnify, defend, and hold harmless the Indemnified Parties from all losses, liabilities, claims, damages, fines, penalties, judgments, settlements, costs, and expenses, including reasonable legal and professional fees, arising out of or relating to: (a) your breach or alleged breach of these Terms, the Policies, the Official Voting Rules, law, or Event instructions; (b) negligence, wilful misconduct, fraud, acts, or unlawful omissions by you or your representatives, guests, or personnel; (c) materials, content, music, performances, statements, products, or property you provide, display, or use, including alleged infringement, misuse, defamation, or violation of privacy, publicity, or confidentiality rights; (d) claims that your participation or grant of rights conflicts with other obligations; (e) bodily injury, death, or property damage caused by you or those you are responsible for; or (f) tax, employment, immigration, sanctions, bribery, vote manipulation, or compensation claims attributable to you.
- 18.3 Control of defence: TikTok may take over the defence and settlement of a claim with counsel of its choice. You must notify TikTok promptly, preserve evidence, and cooperate at your own cost; you may participate through your own counsel at your own cost. You must not admit liability, make public statements, or settle a matter affecting an Indemnified Party without prior written consent of TikTok.
- 18.4 Survival: this clause survives termination or completion of the Event.
19. Anti-corruption
- 19.1 Compliance: you must comply with all applicable anti-bribery, anti-corruption, anti-money laundering, sanctions, export control, and tax laws. In connection with the Event, you must not directly or indirectly offer, promise, give, request, agree to receive, or accept money, gifts, hospitality, travel, assistance, illegal commissions, kickbacks, or other advantage intended to influence decisions, obtain improper benefit, or influence voting, judging, procurement, licensing, customs, immigration, or government action.
- 19.2 Sanctions and reporting: you represent and warrant that neither you nor anyone receiving funds or benefits for you is the target of economic or financial sanctions or owned or controlled by a sanctioned person. You must promptly report suspected violations through the compliance contact notified by TikTok.
- 19.3 Public officials: you must not give anything of value to public officials, political parties, candidates, state-owned enterprise employees, or family members in connection with the Event without the prior written approval of TikTok and any required compliance review.
- 19.4 Records and cooperation: you must keep accurate records of Event-related expenses and benefits, must not use undisclosed third parties or off-book arrangements, and must provide information reasonably requested for compliance screening or investigation.
20. Country-specific terms and local law notes
- 20.1 Purpose: this clause highlights areas that may require local law compliance, additional notices, or market-specific addenda.
- 20.2 Mandatory local law: nothing in these Terms is intended to exclude rights or obligations that are mandatory under applicable local law, for example mandatory consumer protection or data protection rules.
- 20.3 Market addenda: if TikTok determines that a market requires additional clauses — for example mandatory consumer protection wording, additional privacy notices, or specific voting disclosures — TikTok may issue market-specific addenda and/or local language versions for nominees in that market.
- 20.4 Language versions by market: for nominees in Indonesia, Thailand, and Vietnam these Terms are provided in English and the applicable local language (Bahasa Indonesia, Thai, and Vietnamese). The English and local language versions may be accepted electronically at the same time and are intended to have the same meaning; to the extent permitted and required by law, the English version prevails if there is a discrepancy. For nominees in Malaysia, the Philippines, and Singapore these Terms are provided in English only.
- 20.5 Local compliance action: TikTok may modify, suspend, or refuse participation, payment, prizes, recording, Personal Data transfers, or other activities where reasonably necessary to comply with applicable local law or authority directions in any participating market.
21. General
- 21.1 Changes: TikTok may update these Terms where reasonably necessary, for example due to legal requirements, operational needs, or Event integrity. Material changes will be communicated; continued participation after notice constitutes acceptance of the updated Terms.
- 21.2 Severability: if any part of these Terms is unlawful or unenforceable, the remaining parts stay in full force.
- 21.3 Assignment: TikTok may assign its rights and obligations to an affiliate or successor. You may not assign your rights or obligations without prior written consent of TikTok.
- 21.4 No partnership: nothing in these Terms creates an employment, agency, joint venture, or partnership relationship between you and TikTok.
- 21.5 Governing law: these Terms are governed by the laws of Singapore, without applying conflict of law principles.
- 21.6 Dispute resolution: the parties agree to submit to the exclusive jurisdiction of the courts of Singapore for any dispute arising from or in connection with these Terms. This does not limit the right of TikTok to seek injunctive or other equitable relief in any jurisdiction where such relief is available.
- 21.7 Language: the language versions provided for each participating market are set out in clause 20.4. Each translation is intended to have the same meaning as the English version; precedence and interpretation are subject to clause 20.4 and any applicable mandatory law.
- 21.8 Notices: TikTok may give notice by email, in-app message, official Event communication channels, or delivery to your latest contact details. Notice is deemed received when sent unless TikTok receives a delivery failure message.
- 21.9 Entire agreement: these Terms and the documents incorporated into them are the entire agreement regarding your nomination and participation and supersede prior discussions, correspondence, statements, and understandings on that subject.
- 21.10 No reliance: you do not rely on any statement, promise, forecast, representation, or warranty not expressly set out in these Terms, including any promise about broadcast time, publicity, followers, revenue, sponsor work, travel, prizes, results, or future opportunities.
- 21.11 Waiver: a waiver is effective only if in writing and signed by the waiving party. Failure or delay in exercising a right is not a waiver.
- 21.12 Cumulative remedies: rights and remedies are cumulative. TikTok may seek interim, injunctive, equitable, or protective relief for actual or threatened breach of confidentiality, intellectual property, security, integrity, sanctions, or publicity provisions.
- 21.13 Third-party rights: TikTok affiliates and the persons expressly protected by clauses 10, 11, 16.9, 17, and 18 may enforce those provisions. Apart from them, a person who is not a party to these Terms has no right to enforce them.
- 21.14 Counterparts and electronic acceptance: these Terms may be signed in counterparts and by electronic signature, click-through acceptance, or other electronic means.
- 21.15 Dispute confidentiality: the existence of any dispute, submissions, evidence, hearings, and decisions are confidential except as needed to obtain advice, protect legal rights, enforce or challenge a decision, or comply with law.
- 21.16 Survival: provisions that by their nature are intended to survive will survive expiry, withdrawal, disqualification, cancellation, and termination, including clauses 6.7–6.8, 8.4–8.6, 9.4, 10–13, 15.4, 16.4–16.9, 17–20, and 21.6–21.16.
- 21.17 Further assurances: you will sign documents and take reasonable steps requested by TikTok to confirm the rights, consents, releases, and protections granted under these Terms.
